Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and SHOOTPRO24, doing business as ShootPro24AI ("ShootPro24AI," "SHOOTPRO24," "Company," "we," "us," or "our"), regarding your access to and use of the ShootPro24AI website, applications, artificial-intelligence-powered editing tools, media-processing services, cloud services, and related products and services (collectively, the "Service").

By creating an account, clicking a button or checkbox indicating acceptance, purchasing a subscription, or otherwise using the Service, you agree to these Terms.

If you use the Service on behalf of a company, photography studio, videography business, agency, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "Customer" include that entity.

If you do not agree to these Terms, do not access or use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create a ShootPro24AI account or purchase a subscription.

The Service is intended primarily for photographers, videographers, creative professionals, studios, agencies, businesses, and other authorized users.

You may not use the Service where applicable law prohibits your receipt or use of the Service.

2. Accounts

Certain features require a ShootPro24AI account. You agree to provide accurate and current information, protect your login credentials, maintain reasonable account security, and promptly notify ShootPro24AI if you believe your account has been compromised.

You are responsible for activity occurring through your account except to the extent caused by ShootPro24AI's breach of its obligations.

You may not share account credentials in a manner that exceeds the number of users or seats permitted under your subscription plan.

ShootPro24AI may temporarily restrict an account if we reasonably believe it has been compromised, used fraudulently, or used in violation of these Terms.

3. ShootPro24AI Service

ShootPro24AI provides software and automated tools designed to assist with photography, videography, image and media processing, editing, enhancement, organization, workflow automation, cloud processing, artificial-intelligence-assisted functionality, and related services.

Features may change as the Service develops.

SHOOTPRO24 may introduce, modify, replace, improve, or discontinue features. Where reasonably practicable, we will provide notice before materially removing core functionality from an active paid subscription.

Beta, preview, experimental, or early-access features may change or be discontinued without notice and may be subject to additional terms.

4. Artificial Intelligence

Certain ShootPro24AI features may use artificial intelligence, machine learning, computer vision, automated image analysis, generative technologies, or related systems.

Results may vary depending on source material, lighting, camera settings, resolution, image quality, user preferences, editing profiles, software versions, processing parameters, and other factors.

ShootPro24AI does not guarantee that an AI-generated or AI-assisted result will always be accurate, error- free, unique, aesthetically desirable, or appropriate for a particular professional purpose.

You remain responsible for reviewing final output before delivering it to a client, publishing it, printing it, distributing it, commercially exploiting it, archiving it, or otherwise relying on it. 5. Customer Content "Customer Content" includes photographs, RAW files, videos, audiovisual files, project files, catalogs, metadata, filenames, presets, editing instructions, reference images, style information, text, and other material submitted to ShootPro24AI by or on behalf of a Customer.

Customer Ownership

You retain ownership of your Customer Content.

SHOOTPRO24 does not acquire ownership of your photographs, videos, RAW files, client images, or other Customer Content merely because the content is uploaded, stored, transmitted, or processed using ShootPro24AI.

Limited License to Operate the Service

You grant SHOOTPRO24 a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, analyze, convert, modify, create technical derivatives of, and otherwise process Customer Content only to the extent reasonably necessary to:

• provide the Service; • perform requested editing or processing; • create Customer-specific editing preferences or profiles; • transmit or store content at your direction; • secure the Service; • detect fraud, abuse, malware, or security threats; • provide customer support; • troubleshoot technical problems; • comply with applicable law; and • maintain and improve Service reliability and performance in accordance with these Terms and the ShootPro24AI Privacy Policy.

This license ends when the relevant Customer Content is deleted from active systems, except for temporary backups, disaster-recovery copies, security records, billing records, legal preservation requirements, or other limited retention described in the Privacy Policy.

6. AI Model Training

ShootPro24AI does not use Customer Content to train a generalized or shared artificial-intelligence model available to other customers unless the Customer separately and affirmatively opts in.

Acceptance of these Terms does not constitute consent to use Customer Content for generalized AI-model training.

ShootPro24AI may process Customer Content to create or operate features intended specifically for that Customer, such as personalized editing settings, preferences, private profiles, or Customer-specific models. If SHOOTPRO24 offers an optional program through which Customers may contribute content to improve shared AI systems, participation will be voluntary and subject to a separate disclosure and affirmative consent.

7. Rights and Permissions for Uploaded Content

You represent and warrant that you possess all rights, licenses, permissions, consents, releases, and legal authority necessary to upload Customer Content and permit ShootPro24AI to process it.

Where applicable, this may include:

You are responsible for determining whether agreements with your own customers or clients permit the use of cloud-based, artificial-intelligence-assisted, or third-party media-processing services.

8. Restricted Content

You may not knowingly use ShootPro24AI to upload, store, transmit, or process content that violates applicable law.

Prohibited content includes:

• child sexual abuse material; • sexually explicit material involving minors; • non-consensual intimate imagery; • content obtained through unlawful surveillance; • material used to unlawfully threaten, exploit, harass, extort, impersonate, or defraud another person; • content that infringes copyright or other intellectual-property rights; • malicious software or files; and • other material prohibited under the ShootPro24AI Acceptable Use Policy.

9. Facial Analysis and Biometric Processing

ShootPro24AI may use automated visual analysis when necessary to provide editing functionality, including identifying the location or presence of subjects, faces, eyes, objects, image-quality characteristics, composition, exposure, or similar visual properties. ShootPro24AI is not designed to operate as a database for identifying unknown individuals through facial recognition.

SHOOTPRO24 will not intentionally create or maintain biometric identity templates for the purpose of identifying individuals unless a specific ShootPro24AI feature clearly discloses such processing and all legally required notices and consents are implemented before collection.

10. Output

"Output" includes edited photographs, edited video, processing results, adjustment instructions, ratings, selections, enhancement results, metadata, recommendations, or other material generated for a Customer through ShootPro24AI.

As between SHOOTPRO24 and Customer, Customer may use Output generated specifically from Customer Content for any lawful purpose.

To the extent SHOOTPRO24 acquires intellectual-property rights in Output generated specifically for Customer, SHOOTPRO24 assigns those rights to Customer.

This assignment does not include rights in ShootPro24AI's underlying:

ShootPro24AI does not guarantee that every AI-generated or AI-assisted element qualifies for copyright protection.

11. Customer Backups

Unless a specific ShootPro24AI plan expressly states that it is an archival or backup service, ShootPro24AI must not be treated as your sole backup or permanent archival system. Customers should maintain independent copies of original photographs, videos, RAW files, catalogs, and other important project files.

Do not delete your only original copy merely because the file has been uploaded to ShootPro24AI.

12. License to Use ShootPro24AI

Subject to these Terms and payment of applicable fees, SHOOTPRO24 grants you a limited, revocable, non- exclusive, non-transferable, and non-sublicensable right to access and use ShootPro24AI for your personal or internal business purposes.

No ownership rights in ShootPro24AI technology are transferred to you.

13. SHOOTPRO24 Intellectual Property

ShootPro24AI and its underlying software, designs, interfaces, branding, documentation, models, algorithms, processing methods, databases, and proprietary technology are owned by SHOOTPRO24 or its licensors.

They are protected by copyright, trademark, trade-secret, patent, and other applicable intellectual-property laws.

You may not:

• copy or redistribute ShootPro24AI except as authorized; • sell or sublicense unauthorized access; • reverse engineer proprietary technology except where applicable law expressly prohibits such a restriction; • extract AI models, weights, source code, proprietary datasets, or algorithms; • circumvent billing or usage limitations; • scrape ShootPro24AI without authorization; • use unauthorized automated methods to access the Service; • remove proprietary notices; or • use unauthorized extraction of ShootPro24AI technology to develop a substantially competing service.

14. Feedback

If you voluntarily provide suggestions, ideas, feature requests, recommendations, bug reports, or other product feedback, you grant SHOOTPRO24 the unrestricted right to use that feedback without compensation or obligation.

Feedback does not include Customer Content. 15. Subscription Plans Certain ShootPro24AI features require payment.

Available subscription plans, prices, features, processing allowances, storage allowances, billing intervals, and other applicable limitations will be presented before purchase.

By purchasing a recurring subscription, you authorize SHOOTPRO24 and its authorized payment processor to charge your selected payment method for the applicable subscription fee, taxes, and other charges clearly disclosed before purchase.

Automatic Renewal

Unless expressly stated otherwise, recurring ShootPro24AI subscriptions automatically renew at the end of each applicable billing period until cancelled.

Before purchase, ShootPro24AI will disclose the applicable:

ShootPro24AI will obtain affirmative consent before beginning recurring automatic billing.

16. Cancellation

Customers who purchase subscriptions online may cancel their subscriptions online through the ShootPro24AI account or billing interface.

The intended cancellation path is:

Account → Billing → Cancel Subscription

Cancellation prevents future renewal charges.

Unless otherwise disclosed at checkout, cancellation becomes effective at the end of the then-current paid billing period and paid access remains available until that date.

Deleting an application, closing a browser, deleting uploaded files, or simply ceasing to use ShootPro24AI does not automatically cancel a paid subscription. 17. Renewal and Trial Notices ShootPro24AI will provide automatic-renewal reminders, trial-expiration notices, annual subscription reminders, price-change notifications, and similar notices when required by applicable law.

Customers are responsible for keeping their registered email address current.

18. Free Trials

Where a free or promotional trial automatically converts to a paid subscription, ShootPro24AI will clearly disclose before enrollment:

Where required by law, ShootPro24AI will provide a trial-ending reminder.

19. Price Changes

SHOOTPRO24 may change subscription pricing prospectively.

Existing Customers will receive notice of applicable price changes where required by law.

If you do not wish to continue at a new price, you may cancel before the new price applies.

20. Usage-Based Charges and Credits

Certain ShootPro24AI features may use processing credits, media limits, storage quotas, usage-based charges, per-image charges, per-video charges, AI-processing limits, or other metering.

Applicable charges and limitations will be shown through ShootPro24AI or the applicable subscription plan.

Unless explicitly stated otherwise, promotional credits:

• have no cash value; • are non-transferable; • may expire; • may not be redeemed for cash; and • may be subject to plan-specific rules. 21. Refunds Except where otherwise stated or required by law, subscription payments are non-refundable after the applicable paid billing period begins.

This provision does not eliminate refund, cancellation, chargeback, or consumer rights that cannot legally be waived.

If SHOOTPRO24 confirms that you were charged because of a ShootPro24AI billing error, SHOOTPRO24 will correct the error and provide an appropriate refund or credit.

22. Taxes

Prices may exclude applicable sales, use, VAT, GST, or similar taxes unless otherwise indicated.

Customers are responsible for applicable transaction taxes other than taxes imposed on SHOOTPRO24's income.

23. Payment Processing

ShootPro24AI may use third-party payment processors.

The payment processor may collect payment information directly.

SHOOTPRO24 may receive transaction status, subscription information, billing address information, card type, expiration information, and partial payment-card information.

SHOOTPRO24 does not necessarily receive or store complete payment-card numbers.

24. Acceptable Use

You agree to comply with the ShootPro24AI Acceptable Use Policy.

SHOOTPRO24 may investigate suspected misuse and restrict access where reasonably necessary to protect Customers, third parties, SHOOTPRO24, or Service security.

25. Third-Party Services

ShootPro24AI may interact with third-party hosting platforms, cloud providers, payment processors, authentication systems, AI providers, software integrations, analytics platforms, email services, or other third-party products.

Third-party services may be governed by their own agreements and privacy policies. SHOOTPRO24 is not responsible for independent third-party products or services.

26. Copyright Complaints

SHOOTPRO24 respects copyright and other intellectual-property rights.

Copyright complaints should be submitted under the ShootPro24AI Copyright & DMCA Policy.

ShootPro24AI may suspend or terminate repeat infringers where appropriate.

27. Confidentiality

Customer Content is treated as Customer confidential information unless the Customer has made the information public.

SHOOTPRO24 will use reasonable safeguards and limit use of non-public Customer information to operating the Service, exercising contractual rights, complying with law, protecting Service security, or fulfilling another authorized purpose.

Confidential information does not include information that:

28. Privacy

ShootPro24AI's collection and processing of personal information is described in the ShootPro24AI Privacy Policy.

Where SHOOTPRO24 processes personal information on behalf of a business Customer, the ShootPro24AI Data Processing Addendum may also apply.

29. Security

SHOOTPRO24 uses reasonable administrative, organizational, and technical safeguards designed to protect information.

However, no internet service, cloud platform, software application, or storage system can guarantee absolute security.

Customers remain responsible for protecting passwords, devices, account credentials, and systems used to access ShootPro24AI. Security concerns may be reported to:

30. Suspension

SHOOTPRO24 may temporarily restrict access because of:

Where appropriate, SHOOTPRO24 will provide notice and a reasonable opportunity to cure the issue.

31. Termination

You may discontinue use of ShootPro24AI at any time.

SHOOTPRO24 may terminate or suspend an account for material breach, fraud, unlawful use, repeat copyright infringement, serious abuse, or circumstances in which continued use presents substantial legal or security risk.

Termination does not eliminate payment obligations already incurred.

Sections that by their nature should survive termination will remain effective, including intellectual-property provisions, payment obligations, disclaimers, limitations of liability, indemnification, and dispute-resolution terms.

32. Availability

SHOOTPRO24 seeks to maintain reliable Service availability but does not guarantee uninterrupted access unless a separate written service-level agreement applies.

Service interruptions may result from maintenance, software errors, third-party infrastructure failures, internet outages, cyberattacks, force-majeure events, or other circumstances. 33. Warranty Disclaimer TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOOTPRO24AI IS PROVIDED "AS IS" AND "AS AVAILABLE."

SHOOTPRO24 DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SHOOTPRO24 DOES NOT WARRANT THAT:

Nothing in these Terms eliminates warranties that applicable law does not permit SHOOTPRO24 to disclaim.

34. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOOTPRO24 AND ITS AFFILIATES, OFFICERS, EMPLOYEES, DIRECTORS, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, BUSINESS INTERRUPTION, LOST DATA, LOST CUSTOMER CONTENT, LOST PHOTOGRAPHS, LOST VIDEO, OR LOST PROJECT FILES ARISING FROM OR RELATING TO SHOOTPRO24AI.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOOTPRO24'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT PAID BY YOU TO SHOOTPRO24 DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR 2. USD $100 IF YOU USED ONLY FREE SERVICES.

These limitations apply regardless of the legal theory asserted.

They do not apply where applicable law prohibits limitation of the particular liability involved. 35. Indemnification To the extent permitted by law, you agree to defend, indemnify, and hold harmless SHOOTPRO24 and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, losses, liabilities, judgments, and reasonable legal expenses resulting from:

SHOOTPRO24 will provide reasonable notice of an indemnified claim and may participate in or control its defense where necessary to protect its interests.

36. Informal Dispute Resolution

Before commencing arbitration or litigation, you and SHOOTPRO24 agree to attempt in good faith to resolve the dispute informally for at least 30 days.

37. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. Except for claims eligible for small-claims court, requests for emergency injunctive relief, or disputes that applicable law prohibits from mandatory arbitration, disputes arising out of or relating to ShootPro24AI or these Terms will be resolved through binding individual arbitration under the Federal Arbitration Act.

Arbitration will be administered by the American Arbitration Association under its applicable rules.

Arbitration will occur on an individual basis.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SHOOTPRO24 WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.

You may opt out of this arbitration requirement by emailing:

within 30 days after first accepting these Terms.

Your notice must identify your ShootPro24AI account and clearly state that you are opting out of the arbitration provision.

Nothing prevents either party from bringing an eligible individual action in small-claims court.

38. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles, except where federal law controls.

For disputes not subject to arbitration, you and SHOOTPRO24 consent to the jurisdiction of the applicable state and federal courts located in Cook County, Illinois, unless applicable consumer law requires another forum.

Nothing in these Terms deprives consumers of mandatory rights provided under the laws of their jurisdiction.

39. Changes to Terms

SHOOTPRO24 may update these Terms periodically.

The effective date will be updated when changes are made.

If a change is material, SHOOTPRO24 may provide notice by email, within ShootPro24AI, through a website notification, or through another reasonable method.

Where applicable law requires affirmative consent to a change, SHOOTPRO24 will obtain such consent. 40. Electronic Communications You consent to receive transactional, subscription, security, legal, and account-related communications electronically.

Marketing communications will include legally required unsubscribe options.

41. Assignment

You may not assign these Terms without SHOOTPRO24's written consent except in connection with a bona fide transfer of your business where legally permissible.

SHOOTPRO24 may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, or sale of substantially all relevant business assets.

42. Severability

If a provision is held unenforceable, it will be enforced to the maximum lawful extent and the remainder of these Terms will continue in effect.

43. No Waiver

Failure by SHOOTPRO24 to enforce a provision does not constitute a waiver of that provision.

44. Entire Agreement

These Terms, the ShootPro24AI Privacy Policy, applicable subscription disclosures, applicable Order Forms, the Data Processing Addendum, and policies incorporated by reference constitute the applicable agreement concerning use of ShootPro24AI unless the parties enter into another signed agreement.
